Terms of Service

Effective: 1 May 2026

1. Acceptance of terms

By creating an account, downloading the Planscape Revit plugin, or installing the Planscape mobile app, you agree to these Terms of Service ("Terms") on behalf of yourself and the organisation you represent. If you do not agree to these Terms, do not use the service. The service is provided by Planscape Ltd, a company registered in Uganda ("Planscape", "we", "us"). The customer is the organisation entering into this agreement ("Customer", "you").

2. Description of service

Planscape is a cloud-hosted BIM coordination platform comprising:

  • A Revit plugin for Autodesk Revit 2025, 2026, and 2027 — for tagging, syncing, and publishing model data;
  • A cloud API and web dashboard — for managing projects, issues, documents, transmittals, and stage gates;
  • iOS and Android mobile apps — for on-site coordination, including offline operation; and
  • ISO 19650 document templates — for transmittals, RFIs, NCRs, BEPs, MIDPs, and related deliverables.

We may add, modify, or retire individual features over time. Material reductions in functionality will be notified at least 30 days in advance.

3. Account registration and eligibility

The service is intended for business use by AEC firms, contractors, consultants, and asset owners. To create an account you must be a legal entity (company, partnership, sole proprietorship, or equivalent) and represent that you have authority to bind that entity to these Terms. Individual private use is not the intended use case but is not prohibited. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.

4. Subscription plans and billing

We offer two products: STING Tools (Revit plugin standalone — Solo, Studio, Practice, Firm, Enterprise tiers) and Planscape (plugin + cloud bundle — Solo, Studio, Practice, Firm, Large, Enterprise tiers). Pricing, included coordinator/seat caps, and storage limits are set out at /pricing and may be updated from time to time on at least 30 days notice. Changes do not apply to your current billing term.

Billing. East African currencies (UGX, KES, TZS, RWF) and West African (NGN, ZAR) are billed via Flutterwave. USD, EUR, and GBP are billed via Stripe. We pass on no foreign-exchange spread on subscription fees — you pay in the currency you selected at signup.

Trial. A 14-day free trial is available without payment details and grants full access to both products so you can decide which to subscribe to. At the end of the trial we ask for payment to continue; if no payment is provided the account is frozen (read-only) for a further 60 days, after which the data is purged. We email reminders before each step.

Soft block at cap. If you exceed your plan's coordinator or seat cap, we don't auto-charge or auto-disable. You and your admins see an upgrade prompt for 14 days. After 14 days, new sign-ins are paused (existing sessions keep working) until you upgrade or remove inactive users.

Auto-renewal. Subscriptions auto-renew at the end of each term unless cancelled before the renewal date. You can cancel any time from the Settings page; cancellation takes effect at the end of the current term.

5. Acceptable use

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract the source code of the service or the Revit plugin (except where the law expressly permits such activity).
  • Resell, rent, lease, or sub-license the service to a third party (Enterprise multi-tenant agreements are negotiated separately).
  • Use the service to host, transmit, or process data unrelated to AEC project delivery (the service is not a general-purpose file host).
  • Attempt to interfere with the service's security, availability, or integrity, including by submitting malware, attempting unauthorised access, or running denial-of-service attacks.
  • Use the service in any way that would breach Ugandan or applicable export control law.

6. Intellectual property

Planscape retains all right, title, and interest in the platform — the plugin, the mobile apps, the cloud service, the document templates, and all underlying software, designs, and documentation. We grant you a non-exclusive, non-transferable licence to use the service for the duration of your subscription, in accordance with these Terms.

You retain all right, title, and interest in your project data — the Revit models, documents, photographs, issues, and other content you upload. You grant Planscape a limited licence to host, process, and display that data solely for the purpose of operating the service for you.

7. Data and confidentiality

We treat your project data as confidential. We will not disclose it to third parties except: (a) to the sub-processors listed in our Privacy Policy, who are bound by equivalent confidentiality obligations; (b) where compelled by valid legal process, in which case we will notify you unless prohibited by law; or (c) where you direct us to (e.g. when sending a transmittal to an external recipient).

For Enterprise customers we offer a separate Data Processing Agreement (DPA) compliant with GDPR Article 28 and DPPA 2019. Contact us to request the DPA template.

8. Uptime and support

We use commercially reasonable efforts to keep the service available 24/7. We do not offer a contractual uptime SLA on the Studio plan; we target but do not contractually commit to 99.5% monthly uptime on Practice and Network. The Enterprise plan includes a contractual SLA — typically 99.9% — set out in the Enterprise order form.

Support is provided by email (hello@planscape.build) and via the in-app chat widget during East African business hours (Mon–Fri 09:00–18:00 EAT, public holidays excepted). Enterprise customers receive priority support with a contractual response time.

9. Limitation of liability

To the fullest extent permitted by law, Planscape's total aggregate liability arising out of or relating to these Terms or your use of the service is capped at the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data (where data loss arises despite our reasonable security measures), or business interruption — even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by our negligence; or (c) any other liability that cannot be excluded under applicable law.

10. Termination

Either party may terminate this agreement on 30 days written notice to the other. We may terminate immediately if you materially breach these Terms (including non-payment of fees) and have not cured the breach within 14 days of notice. On termination we will keep your data available for export for 30 days, after which it will be permanently deleted (subject to retention requirements set out in the Privacy Policy).

11. Governing law

These Terms are governed by the laws of Uganda. Any dispute arising out of or relating to these Terms will first be addressed by good-faith mediation between the parties. If mediation does not resolve the dispute within 60 days, the dispute will be settled by binding arbitration in Kampala under the rules of the Centre for Arbitration and Dispute Resolution (CADER). The seat of arbitration is Kampala, Uganda; the language is English.

12. Changes to terms

We may update these Terms from time to time. For material changes — anything that meaningfully affects your rights or obligations — we will give all account holders at least 30 days notice by email and by banner notice in the dashboard. Continued use of the service after the effective date of the new Terms constitutes acceptance. If you do not accept the new Terms you may cancel your account before they take effect, and we will refund any unused pre-paid fees on a pro-rata basis.
